1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and City of Coins (“Company,” “we,” “us,” or “our”) governing your access to and use of the City of Coins website, interfaces, APIs, routing systems, and related services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Nature of the Services

City of Coins is a non-custodial liquidity routing platform that facilitates access to third-party blockchain liquidity, decentralized exchanges, bridges, and swap providers.

The Services may include:

• Instant Swap Mode powered by third-party providers, including ChangeNOW;
• DEX Mode powered by decentralized interoperability infrastructure, including deBridge;
• Cross-chain routing;
• Quote aggregation;
• Transaction tracking;
• Blockchain interaction interfaces.

3. Eligibility

By using the Services, you represent and warrant that:

• You are at least 18 years of age;
• You have the legal capacity to enter into this agreement;
• You are not located in a jurisdiction where the Services are prohibited;
• You are not subject to sanctions or restrictions imposed by applicable laws.

4. No Financial, Investment, or Legal Advice

The Services are provided for informational and execution purposes only. Nothing on the platform constitutes:

• Investment advice;
• Financial advice;
• Legal advice;
• Tax advice;
• A recommendation to buy, sell, hold, or exchange any digital asset.

You are solely responsible for evaluating the risks associated with any transaction.

5. Third-Party Providers

Certain Services rely on independent third-party providers, including but not limited to:

• ChangeNOW
• deBridge
• Blockchain networks;
• Decentralized exchanges;
• Liquidity providers;
• Bridge operators.

City of Coins does not control the operation, availability, pricing, execution quality, security, or policies of such third parties.

Transactions executed through third-party providers may be subject to their own terms, policies, compliance procedures, and technical limitations.

6. Smart Contract and Decentralized Exchange Risks

These risks include, without limitation:

• Smart contract vulnerabilities;
• Software bugs;
• Oracle failures;
• Validator failures;
• Bridge failures;
• Network congestion;
• Blockchain forks;
• Loss of funds due to protocol exploits;
• Incorrect transaction execution;
• Irreversible transactions.

Blockchain transactions are generally irreversible. Once a transaction is confirmed on a blockchain, City of Coins may be unable to cancel, reverse, or recover the transferred assets.

7. Assumption of Risk

You expressly acknowledge that digital assets are highly volatile and speculative.

You assume all risks associated with:

• Price volatility;
• Liquidity fluctuations;
• Slippage;
• Cross-chain transfers;
• Smart contract interactions;
• Regulatory changes;
• Cybersecurity incidents;
• Loss of access to wallets or private keys.

City of Coins shall not be responsible for any trading losses, market losses, or diminution in asset value.

8. Compliance and AML

For certain transaction pathways, third-party providers may conduct Anti-Money Laundering (“AML”), sanctions, fraud-prevention, or compliance checks.

Transactions may be delayed, rejected, frozen, or subject to additional verification by the relevant provider.

City of Coins does not guarantee the approval of any transaction.

9. User Responsibilities

You are solely responsible for:

• Providing accurate wallet addresses;
• Selecting the correct blockchain network;
• Maintaining the security of your wallet and private keys;
• Verifying transaction details before confirmation;
• Complying with applicable laws and regulations.

Transactions sent to incorrect addresses or unsupported networks may result in permanent loss of funds.

10. Prohibited Activities

You agree not to use the Services for:

• Money laundering;
• Terrorist financing;
• Sanctions evasion;
• Fraud;
• Market manipulation;
• Exploitation of vulnerabilities;
• Unauthorized access attempts;
• Any unlawful activity.

We reserve the right to restrict access to the Services where prohibited activity is suspected.

11. Limitation of Liability

To the maximum extent permitted by law, City of Coins shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

• Use of the Services;
• Third-party provider failures;
• Smart contract exploits;
• Bridge failures;
• Blockchain network disruptions;
• Loss of digital assets;
• Trading losses;
• Unauthorized access to wallets;
• Regulatory actions.

In no event shall City of Coins’ aggregate liability exceed the fees actually paid by you to City of Coins during the three (3) months preceding the event giving rise to the claim.

12. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.”

City of Coins disclaims all warranties, express or implied, including:

• Merchantability;
• Fitness for a particular purpose;
• Non-infringement;
• Availability;
• Accuracy of quotes;
• Uninterrupted operation.

We do not guarantee that any transaction will be executed at a particular rate or within a particular timeframe.

14. Intellectual Property

All trademarks, logos, designs, software, content, and branding associated with City of Coins are owned by or licensed to the Company.

You may not reproduce, distribute, modify, or exploit any portion of the Services without prior written consent.

15. Suspension and Termination

We may suspend or terminate access to the Services at any time, with or without notice, if:

• Required by law;
• Necessary for security reasons;
• Prohibited activity is suspected;
• Third-party provider access is restricted.

16. Amendments

City of Coins may modify these Terms at any time.

Updated Terms will become effective upon publication on the website. Continued use of the Services after publication constitutes acceptance of the revised Terms.
